Opzione di tassazione agevolata, attraverso l’uso di alcuni beni immateriali: il Patent Box

La Legge 23 dicembre 2014, n. 190, articolo 1, commi da 37 a 45 ha introdotto il c.d. Patent Box, un regime opzionale di tassazione per i redditi derivanti dall’utilizzo di alcuni particolari beni immateriali protetti da copyright oppure da diritti di proprietà Industriale.

Tra questi beni, rilevano essenzialmente:

  • Software protetto da copyright;
  • Brevetti per invenzione industriale;
  • Invenzioni biotecnologiche e certificati di protezione complementari;
  • Brevetti per modelli di utilità;
  • Disegni e modelli, giuridicamente tutelabili;
  • Know-how aziendale.

L’opzione può essere esercitata da:

  1. Imprenditori individuali, ovvero le persone fisiche esercenti imprese commerciali ai sensi dell’art. 55 Tuir.
  2. Società di persone residenti (in nome collettivo e in accomandita semplice, ex art. 5 comma 1 del Tuir).
  3. Società di capitali (SpA, Srl, SApA,), società cooperative e di mutua assicurazione, società europee di cui al Reg. CE n. 2157/2001 e le società cooperative europee di cui al Reg. CE n. 1435/2003, residenti ex art. 73 comma 1 lett. a) del Tuir.
  4. Enti pubblici e privati diversi dalle società e i trust residenti, purché esercitino, anche in maniera non esclusiva, un’attività commerciale, in relazione a quest’ultima.

Si possono escludere dalla base imponibile il 50% dei redditi derivanti dall’utilizzo dei suddetti beni, ovvero, in caso di cessione, nella misura del 90% quando il ricavato della cessione stessa viene reinvestito in ricerca, manutenzione e sviluppo di altri beni immateriali dell’azienda.

La finalità della misura è sostanzialmente quella di ricollocare e mantenere in Italia tutti quei beni immateriali al momento all’estero, incentivando le imprese ad investire in ricerca e sviluppo.
